These Terms and Conditions ("Terms") govern your use of the payment services provided by Globus Payments ("we", "our", or "us"). By accessing or using our services, you agree to be bound by these Terms.
1. Definitions
In these Terms:
- "Account" means your Globus Payments business account
- "Services" means our B2B payment, payroll, and related financial services
- "Transaction" means any payment instruction submitted through our platform
- "Business Day" means Monday to Friday, excluding UK and UAE public holidays
- "User" means any individual authorised to access your Account
2. Eligibility
To use our Services, you must:
- Be a registered business entity
- Be at least 18 years of age
- Complete our verification and onboarding process
- Provide accurate and complete information
- Not be subject to any sanctions or restrictions
3. Account Registration
3.1 Application
You must complete our application process and provide all requested documentation. We reserve the right to accept or reject any application at our sole discretion.
3.2 Verification
We are required to verify your identity and business in accordance with anti-money laundering regulations. You agree to provide any additional information or documentation we may request.
3.3 Account Security
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your Account. You must notify us immediately of any unauthorised access.
4. Payment Services
4.1 Payment Instructions
You authorise us to execute payment instructions submitted through your Account. You are responsible for ensuring all payment details are accurate and complete.
4.2 Processing Times
We will process payments within the timeframes specified for each payment type. Processing times may vary depending on the destination, currency, and payment method.
4.3 Cancellation
You may request to cancel a payment before it has been processed. Once a payment has been executed, it cannot be cancelled, though we may assist with recall requests where possible.
5. Fees and Charges
You agree to pay all fees associated with your use of our Services as set out in our fee schedule. We will notify you of any changes to our fees at least 30 days in advance.
- Transaction fees are deducted at the time of payment
- Currency exchange rates are determined at the time of conversion
- Additional fees may apply for expedited services
6. Your Obligations
You agree to:
- Use our Services only for lawful business purposes
- Comply with all applicable laws and regulations
- Not use our Services for money laundering, fraud, or other illegal activities
- Maintain sufficient funds to cover all transactions and fees
- Keep your account information up to date
- Cooperate with any investigations or audits
7. Prohibited Activities
You may not use our Services for:
- Illegal goods or services
- Money laundering or terrorist financing
- Transactions involving sanctioned countries or individuals
- Adult content, gambling, or cryptocurrency (unless specifically approved)
- Any activity that violates applicable laws or regulations
8. Liability
8.1 Our Liability
We will not be liable for any indirect, incidental, or consequential damages. Our total liability for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.
8.2 Exclusions
We are not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to system failures, bank delays, or force majeure events.
8.3 Your Liability
You are liable for any losses arising from your breach of these Terms, inaccurate payment instructions, or unauthorised use of your Account.
9. Suspension and Termination
9.1 Suspension
We may suspend your Account immediately if we suspect fraud, money laundering, or breach of these Terms. We will notify you of any suspension as soon as reasonably practicable.
9.2 Termination
Either party may terminate this agreement by providing 30 days' written notice. We may terminate immediately for material breach or regulatory requirements.
9.3 Effect of Termination
Upon termination, all pending transactions will be completed or cancelled, and any remaining funds will be returned to you, less any outstanding fees.
10. Intellectual Property
All intellectual property rights in our Services, website, and materials remain our property. You may not copy, modify, or distribute any of our content without our prior written consent.
11. Data Protection
We process your personal data in accordance with our Privacy Policy and applicable data protection laws.
12. Complaints
If you have a complaint about our Services, please contact us at complaints@globus-payments.com. We will acknowledge your complaint within 5 business days and aim to resolve it within 8 weeks.
13. Governing Law
These Terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of any material changes at least 30 days before they take effect. Your continued use of our Services after such changes constitutes acceptance of the updated Terms.
